The way of presenting the documents necessary for obtaining a public service
  1. In paper form, documents are submitted by the applicant personally or by mail.
  2. In electronic form, documents are submitted through the portal of electronic services.
Term for the provision of public services

State registration is conducted in the absence of grounds for suspension of consideration of documents and refusal to state registration within 24 hours after receipt of documents, except for weekends and holidays.

The termination of consideration of documents is carried out in time established for the state registration.

The period for suspension of consideration of documents submitted for state registration is 15 calendar days from the date of their stop.

The result of the provision of public services
  • making an appropriate entry in the Unified State Register of Legal Entities, Individuals - Entrepreneurs and Public Associations;
  • an extract from the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Formations - in case of making changes to the information reflected in the statement;
  • constituent document of a legal entity in electronic form, made by scanning - in case of making changes to the constituent documents;
  • notification of refusal of state registration with an indication of an exceptional list of grounds for refusal.
Ways to get a response (result)

The results of the state service in the sphere of state registration (including an extract from the Unified State Register of Legal Entities, Individual Entrepreneurs and Social Entities and the constituent document of the legal entity) are published electronically in the electronic services portal and are available for their search by the access code.

At the request of the applicant, an extract in paper form from the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Formations is provided, with the signature and seal of the state registrar stamped - in the case of an application for state registration in paper form.

In case of refusal of state registration, the documents submitted for state registration (except for the document on payment of the administrative fee) shall be returned (issued, sent by post) to the applicant no later than the next working day from the date of receipt of the application for return from the applicant.

Article 18 of the Law of Ukraine "On State Registration of Legal Entities, Individuals - Entrepreneurs and Public Associations"

  1. State registration of an individual entrepreneur:

    • an application for state registration of a natural person by an entrepreneur (Form No. 10);
    • a statement on the election of a simplified taxation system by an individual and / or a registration application for voluntary registration as a payer of value-added tax in a form approved by the central executive authority ensuring the formation of a state tax and customs policy - at the request of the applicant;
    • a notarized written consent of the parents (adoptive parents) or guardian or body of guardianship and trusteeship - for an individual who has reached the age of sixteen and has a desire to engage in entrepreneurial activities, but has no full civil capacity.
  2. State registration of the inclusion of information on an individual entrepreneur registered before July 1, 2004, information about which is not contained in the Unified State Register:

    • an application for state registration of the inclusion of information on an individual entrepreneur in the Unified State Register (Form No. 13).
  3. State registration of changes in information on an individual entrepreneur, contained in the Unified State Register:

    • an application for state registration of changes in information on an individual entrepreneur, contained in the Unified State Register (Form No. 11);
    • document on payment of administrative fee - in cases provided for by this Law;
    • a copy of the certificate of registration of the registration number of the registration card - in case of making changes related to the change in the registration number of the taxpayer's registration card;
    • a copy of the first page of the passport and a page with a note about the right to make any payments for the series and passport number - in case of making changes related to the change of the series and the passport number - for individuals who, by their religious beliefs, refused to accept the registration number of the taxpayer's registration card , notified the relevant regulatory body and have a mark in the passport on the right to make payments for the series and passport number.
  4. State registration of termination of entrepreneurial activity of a physical person - entrepreneur (one of the documents):

    • an application for state registration of termination of entrepreneurial activity of an individual entrepreneur by its decision - in case of state registration of termination of entrepreneurial activity of a physical person-entrepreneur by its decision (form No. 12);
    • a photocopy of the death certificate of a natural person, a judicial decision to recognize a natural person as missing - in the case of state registration of the termination of entrepreneurial activity of a natural person as an entrepreneur in connection with her death, recognition as missing or declared deceased.

If the documents are submitted in person, the applicant submits his passport of a citizen of Ukraine or a temporary certificate of a citizen of Ukraine or a foreign passport or a certificate of a stateless person or a permanent or temporary residence permit.

In case of submission of documents, except for the case when information on the credentials of this representative is contained in the Uniform State Register, the representative shall additionally be provided with a copy of the original (notarized copy) of the document certifying his authority.

Article 17 of the Law of Ukraine "On State Registration of Legal Entities, Individuals - Entrepreneurs and Public Associations"

  1. State registration of the establishment of a legal entity (including as a result of separation, merger, transformation, separation), except for the creation of a state body, a local government:

    • an application for state registration of the establishment of a legal entity. In the application for state registration of the creation of a legal entity created as a result of the division, additionally information is provided on the separate subdivisions insofar as they belong to a legal entity - the legal successor (Form No. 1);
    • a statement on the election of a simplified taxation system by a legal entity and / or a registration application for voluntary registration as a payer of value added tax and / or an application for inclusion in the Register of non-profit institutions and organizations on forms approved in accordance with the legislation - at the request of the applicant;
    • a copy of the original (notarized copy) of the decision of the founders, and in cases provided for by law - the decision of the relevant state body, on the establishment of the legal entity;
    • constituent document of a legal entity - in the case of the creation of a legal entity on the basis of its own constituent document;
    • a document confirming the registration of a foreign person in the country of his location (extract from the commercial, banking, judicial register) - in the case of the creation of a legal entity, the founder (founders) of which is a foreign legal entity;
    • copy of the original (notarized copy) of the deed of transfer - in the case of the creation of a legal entity as a result of conversion or merger;
    • copy of the original (notarized copy) of the distribution balance sheet - in the case of the creation of a legal entity as a result of division or separation;
    • documents for the state registration of changes on a legal entity contained in the Unified State Register specified in part four of this article - in the case of the creation of a legal entity as a result of the separation;
    • documents for state registration of termination of a legal entity as a result of merger and division - in case of the creation of a legal entity as a result of merger and division;
  2. The state registration of the establishment of a legal entity - a state body shall submit an application for state registration of the establishment of a legal entity.

    For the state registration of the creation, termination of a legal entity - local council, executive committee of the local council, as well as changes in information about it, an application for state registration of the establishment, termination of the legal entity, amendment of information about it.

    For the state registration of the creation, termination of a legal entity - the executive body of the local council (except for the executive committee), as well as changes in information about it, an application for state registration of the establishment, termination of the legal entity, amendment of information about it, as well as an act of the local council on creation, termination of the executive body, an act of the village, town, city mayor appointing the head of such body.

    State registration during the reorganization of local self-government bodies as legal entities after the voluntary association of territorial communities is carried out taking into account the specifics provided for in the Law of Ukraine "On the Voluntary Association of Territorial Communities".

  3. For state registration, the inclusion of information on a legal entity registered before July 1, 2004, information about which is not contained in the Unified State Register

    • application for state registration of information on a legal entity in the Unified State Register (Form No. 9).
  4. For the state registration of changes in the information on the legal entity contained in the Unified State Register, including changes in the constituent documents of the legal entity, the following documents are submitted:

    • an application for state registration of changes in information on a legal entity contained in the Unified State Register (Form No. 3);
    • copy of the original (notarized copy) of the decision of the authorized management body of the legal entity on the changes to be made to the Unified State Register, except for changes in information about the ultimate beneficial owners (controllers) of the legal entity, including the ultimate beneficiary owners (controllers) of its founder, if the founder is a legal entity, the location and the communication with the legal entity;
    • a document confirming the registration of a foreign person in the country of his location (extract from the commercial, banking, judicial register) - in case of changes related to the entry into the structure of the founders of a legal entity of a foreign legal entity;
    • document on payment of the administrative fee - in the cases provided for in § 36 of this Law;
    • constituent document of a legal entity in a new wording - in case of making changes in the constituent document;
    • copy of the original (notarized copy) of the deed of transfer or separation balance sheet - in case of making changes related to entering data on a legal entity, the legal successor of which is a registered legal entity;
    • copy of the original (notarized copy) of the decision of the authorized management body of the legal entity to withdraw from the founders (participants) and / or the application of the individual to withdraw from the founders (participants), the authenticity of the signature on which the notarized, and / or contract, another document on the transfer or transfer of the share of the founder (participant) in the authorized (share) capital (share fund) of the legal entity, and / or the decision of the authorized body of management of the legal entity on compulsory exclusion from the founder in (participants) of a legal entity or a photocopy of the certificate of death of an individual, a judicial decision to recognize a natural person as missing, in case of making changes related to changes in the composition of the founders (participants) of the legal entity;
  5. For the state registration of the transfer of a legal entity for activities on the basis of a model charter, the following documents are submitted:

    • statement on state registration of the transition from its own constituent document to activities based on the model charter (Form No. 2);
    • copy of the original (notarized copy) of the decision of the authorized management body of the legal entity on the transition to activity on the basis of the model charter.
  6. For the state registration of the transfer of a legal entity from the model charter for activities on the basis of its own constituent document, the following documents:

    • an application for state registration of the transition from the model statute to the activity on the basis of its own constituent document (form No. 2);
    • copy of the original (notarized copy) of the decision of the authorized management body of the legal entity on the transition to activities on the basis of its own constituent document and approval of the constituent document;
    • constituent document of a legal entity.
  7. For state registration of a decision on the allocation of a legal entity For state registration of a decision on the allocation of a legal entity.

  8. For the state registration of a decision on the termination of a legal entity adopted by its participants or the relevant body of a legal entity, and in the cases provided for by law - by the relevant state body, the following documents:

    • copy of the original (notarized copy) decision of the participants of the legal entity or the relevant body of the legal entity, and in cases provided for by law - the decision of the relevant state body to terminate the legal entity;
    • copy of the original (notarized copy) of the document, which approved the personal composition of the commission for termination (reorganization commission, liquidation commission) or liquidator, registration numbers of taxpayer registration cards (or information on the series and passport number - for individuals who, in their religious beliefs refused to accept the registration number of the tax payer's registration card and notified the relevant supervisory authority and have a mark in the passport about the right to exercise the time for the application by creditors of their claims - in the absence of such information in the decision of the participants of the legal entity or the relevant body of the legal entity, and in cases provided for by law - in the decision of the relevant state body on termination of the legal entity.
  9. For the state registration of a decision to revoke a decision to terminate a legal entity, adopted by its participants or the relevant body of a legal entity, and in cases provided for by law - by the relevant state body , a copy of the original (notarized copy) of the relevant body of the legal entity, and in cases provided for by law - the decision of the relevant state body, on the cancellation of the decision on termination of the legal entity.

  10. For the state registration of the change in the composition of the commission for termination (commission for reorganization, liquidation commission), chairman of the commission or liquidator , a copy of the original (notarized copy) shall be submitted to the decision of the participants of the legal entity or the relevant body of the legal entity, and in cases provided by law, - the decision of the relevant state body, on changes.

  11. For the state registration of the termination of a legal entity as a result of its liquidation on the basis of a decision to terminate a legal entity adopted by participants of a legal entity or an appropriate body of a legal entity, and in cases provided for by law, a decision of the relevant state bodies or a judicial decision to terminate a legal entity not related with its bankruptcy, after the termination of the termination procedure, but not earlier than the expiry of the period for claiming claims by creditors, such documents are submitted:

    • application for state registration of termination of a legal entity as a result of its liquidation (Form No. 7);
    • certificate of the archival institution on the acceptance of documents that are legally subject to long-term storage.
  12. For the state registration of termination of a legal entity as a result of its reorganization after the end of the termination procedure, but not earlier than the expiry of the period for claiming claims by creditors, such documents are submitted:

    • an application for state registration of termination of a legal entity as a result of its reorganization (Form No. 8);
    • copy of the original (notarized copy) of the distribution balance sheet - in case of termination of the legal entity as a result of separation;
    • copy of the original (notarized copy) of the deed of transfer - in case of termination of a legal entity as a result of conversion, merger or acquisition;
    • certificate of the archival institution on the acceptance of documents that are legally subject to long-term storage in the event of termination of a legal entity as a result of separation, merger or acquisition;
    • documents for state registration of the establishment of a legal entity, as defined in part one of this article, in the event of termination of a legal entity as a result of a conversion;
    • documents for state registration of the establishment of a legal entity, as defined in part one of this article, in the event of termination of a legal entity as a result of a conversion.
  13. For the state registration of the decision to terminate the bank in connection with the decision to revoke the banking license and liquidate the bank, the Fund guarantees deposits of individuals:

    • a copy of the decision of the National Bank of Ukraine to revoke a banking license and liquidate a bank;
    • a copy of the decision of the Fund for Guaranteeing Deposits of Individuals on the Appointment of an Authorized Person of the Fund.
  14. For state registration of the bank's termination in connection with the decision to revoke the banking license and liquidate the bank the decision of the Deposit Guarantee Fund of individuals on approval of the bank liquidation completion report is submitted.

  15. For the state registration of a separate subdivision of a legal entity, such documents are submitted:

    • an application for state registration of the establishment of a separate subdivision of a legal entity (Form No. 4);
    • copy of the original (notarized copy) of the decision of the authorized management body of the legal entity on the establishment of a separate subdivision.
  16. For the state registration of changes in information about a separate subdivision of a legal entity contained in the Unified State Register, filed an application for state registration of changes in information about a separate subdivision of a legal entity contained in the Unified State Register (Form No. 5).

  17. For state registration of the termination of a separate subdivision of a legal entity an application for state registration of the termination of a separate subdivision of a legal entity is filed (Form No. 6).

In case of submission of documents, except for the case when information on the credentials of this representative is contained in the Uniform State Register, the representative shall additionally be provided with a copy of the original (notarized copy) of the document certifying his authority.

In case of participation of a representative of the founder (participant) of a legal entity in the decision making by the authorized body of management of a legal entity, a copy of the original (notarized copy) of the document certifying its authority.
